Terms & Conditions

01 Definitions

In these Terms and Conditions, the following terms carry the meanings set out below:

  • "Agreement" means these Terms and Conditions, together with any signed proposal, statement of work, or service order.
  • "Budi Tech" / "we" / "us" / "our" means Budi Tech, operating from 43 Lorong Api-Api, 88000 Kota Kinabalu, Sabah, Malaysia.
  • "Client" / "you" means the individual or organisation engaging Budi Tech services.
  • "Services" means AI consulting, system implementation, and training programs as described in the relevant proposal or statement of work.
  • "Deliverables" means any reports, documentation, trained models, code, or training materials produced as part of the Services.
  • "Confidential Information" means any non-public business, technical, or operational information disclosed by either party.

02 Acceptance of Terms

By engaging our services, submitting an enquiry, or executing a project proposal, you confirm that:

  • You are at least 18 years of age or an authorised representative of a business entity
  • You have the legal capacity to enter into a binding agreement
  • You have read and understood these Terms and Conditions
  • The organisation you represent, if applicable, has authorised this engagement

03 Service Description

Budi Tech offers AI-related consulting and technical training services to business clients in Malaysia and the broader Asia-Pacific region. Our current service portfolio includes:

  • AI-Enhanced Project Portfolio Analysis — consulting and analytics for PMO and portfolio management teams
  • AI Safety and Robustness Training — technical training for engineering and quality assurance teams
  • Intelligent Contract Analysis System — implementation and training for legal and procurement functions

Availability and scope

The scope, timeline, and deliverables of each engagement are defined in a written proposal issued prior to commencement. No work commences until a proposal is accepted in writing. We reserve the right to decline engagement requests at our discretion.

Service delivery is primarily in English, with bilingual Bahasa Malaysia support available for certain training programs where indicated in the proposal.

04 Client Responsibilities

To enable effective delivery, you agree to:

  • Provide timely access to relevant data, systems, and personnel as reasonably required
  • Assign a named point of contact for project communication
  • Review and provide feedback on drafts or interim deliverables within agreed timeframes
  • Ensure that any data shared with us is shared with appropriate legal authority
  • Not use our deliverables for purposes outside the agreed project scope without prior written consent
  • Not engage in any conduct that could compromise the professional integrity of the engagement

Prohibited activities

You must not use our services, deliverables, or website content to:

  • Develop, train, or deploy AI systems intended to deceive, harm, or discriminate unlawfully
  • Reverse-engineer, resell, or sublicense proprietary materials without written agreement
  • Violate any applicable Malaysian or international law, including data protection law
  • Circumvent agreed project scope or request work outside contracted terms without amendment

05 Intellectual Property

Our intellectual property

All methodologies, frameworks, training materials, templates, and pre-existing tools used in delivering our services remain the exclusive property of Budi Tech. Nothing in an engagement grants you ownership of our underlying intellectual property.

Project deliverables

Upon receipt of full payment, Budi Tech grants you a non-exclusive, non-transferable licence to use project deliverables within your organisation for the purposes described in the proposal. Rights to custom-developed components may be specified differently in individual agreements.

Client data

All data, documents, and materials you provide remain your property. We use them solely to deliver the agreed services and delete or return them upon project completion unless retention is agreed in writing.

06 Payment Terms

All fees are quoted in Malaysian Ringgit (RM) and are inclusive of applicable service tax unless otherwise stated. Current service pricing:

  • AI-Enhanced Project Portfolio Analysis — RM 760 per engagement
  • AI Safety and Robustness Training — RM 2,080 per program
  • Intelligent Contract Analysis System — RM 3,650 per implementation

Payment schedule

Standard payment terms require a 50% deposit upon proposal acceptance and the remaining balance prior to final deliverable handover, unless an alternative schedule is agreed in the project proposal.

Late payments

Invoices unpaid beyond 30 days may incur a late payment charge of 1.5% per month on the outstanding balance. We reserve the right to pause work on active projects where payment is significantly overdue, following written notice.

Refunds

Deposits are non-refundable once project work has commenced. If you cancel prior to commencement, deposits may be credited toward a future engagement within 12 months. Disputes regarding deliverable quality will be handled through the process outlined in Section 12.

07 Confidentiality

Both parties agree to treat all Confidential Information received from the other as strictly confidential and to use it only for the purposes of the engagement. This obligation:

  • Applies during the engagement and for five years following its conclusion
  • Does not apply to information that is publicly available through no breach of this Agreement
  • Does not apply to information independently developed without reference to the Confidential Information
  • Does not prevent disclosure required by law, provided the disclosing party provides advance notice where possible

We sign mutual non-disclosure agreements on request for sensitive engagements involving personal data or commercially sensitive systems.

08 Disclaimers

Our services are provided in good faith based on the information available at the time of engagement. We do not warrant that:

  • AI-generated outputs or analytical recommendations will be free from error
  • Results from training programs will translate to specific operational outcomes
  • Contract analysis systems will identify all risks in every document reviewed
  • Any particular business outcome will follow from implementing our recommendations
Our work constitutes professional advisory and technical assistance. Decisions made in reliance on our deliverables remain the responsibility of the client organisation. We recommend that legal or compliance-critical decisions are reviewed by appropriate qualified professionals.

09 Limitation of Liability

To the fullest extent permitted under Malaysian law, Budi Tech's total liability for any claim arising from or related to an engagement shall not exceed the total fees paid by the client for that engagement in the three months preceding the claim.

We shall not be liable for any indirect, consequential, incidental, or special damages including but not limited to loss of profit, loss of business opportunity, or loss of data, even if advised of the possibility of such loss.

Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable Malaysian law.

10 Indemnification

You agree to indemnify and hold Budi Tech harmless from any claims, losses, or expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms and Conditions
  • Your misuse of deliverables beyond the scope of the agreed licence
  • Data you provided to us that infringes third-party rights or was shared without lawful authority
  • Your violation of any applicable law in connection with the engagement

11 Termination

Termination by either party

Either party may terminate an engagement with 30 days written notice. In such cases, Budi Tech will invoice for work completed to date, and any prepaid amounts for undelivered work will be refunded on a pro-rata basis.

Termination for cause

Either party may terminate immediately where the other party materially breaches the Agreement and fails to remedy that breach within 14 days of written notice. In cases of non-payment, we may suspend or terminate without the remedy period.

Effect of termination

Sections 5 (Intellectual Property), 7 (Confidentiality), 9 (Limitation of Liability), and 12 (Dispute Resolution) survive termination of the Agreement.

12 Dispute Resolution

We prefer to resolve disagreements through direct dialogue. If you have a concern, please contact us at [email protected] so we can address it promptly.

Escalation process

  1. Informal discussion between project leads — within 10 business days of issue raised
  2. Written mediation request to senior management — within 30 days if informal resolution fails
  3. Formal mediation through the Asian International Arbitration Centre (AIAC), Kuala Lumpur — if unresolved after 60 days

Governing law

These Terms and Conditions are governed by the laws of Malaysia. Both parties submit to the exclusive jurisdiction of the courts of Malaysia, with Kota Kinabalu, Sabah as the primary venue where applicable.

13 General Provisions

  • Entire agreement — These Terms, together with any signed proposal, constitute the complete agreement between the parties, superseding all prior discussions.
  • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
  • No waiver — Our failure to enforce any provision does not constitute a waiver of our right to enforce it in future.
  • Assignment — You may not assign rights or obligations under this Agreement without our written consent. We may assign our rights to a successor entity with notice.
  • Force majeure — Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, civil unrest, or governmental action.
  • Notices — Legal notices must be in writing and delivered by email with read receipt or registered post to the addresses on file.

14 Changes to These Terms

We may revise these Terms and Conditions from time to time. When we do, we will update the "Last Updated" date at the top of this page. For active clients, material changes will be communicated by email at least 14 days before taking effect. Continued use of our services following notification constitutes acceptance of the revised terms.
